1. Acceptance of Terms

By accessing or using any website, product, or service offered by FLUENT AI Solutions, LLC (“FLUENT AI,” “we,” “our,” or “us”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you do not agree, do not use our Services.
Use of the Services constitutes your electronic acceptance of these Terms under the Louisiana Uniform Electronic Transactions Act (La. R.S. 9:2601 et seq.). You represent and warrant that you are at least 18 years old and legally capable of entering into this agreement.

2. Definitions

  • “Services” — All websites, applications, software, automation tools, and related offerings provided by FLUENT AI.
  • “Content” — All text, images, data, code, documentation, and materials supplied through the Services.
  • “User Content” — Any data, information, or materials you upload or transmit to the Services.
  • “Site” — Our public website located at https://www.fluent-aisolutions.com.
  • “Business Client” — An organization that contracts with FLUENT AI for paid automation or integration services.
  • “Individual User” — A person accessing the Site or using free or demo Services.

3. Changes to Terms

We may modify these Terms at any time.
Material changes will take effect thirty (30) days after notice is provided via email or posted on the Site.
Your continued use after that date constitutes acceptance of the updated Terms.

4. Use of Services

You agree to use the Services only for lawful purposes. You will not:
a. Violate any applicable law, regulation, or third-party right.
b. Access accounts or systems without authorization.
c. Reverse engineer, decompile, or disassemble any part of the Services.
d. Interfere with performance or security of the Services.
e. Use automated tools (bots, scrapers, crawlers) without written consent.
f. Transmit malware, viruses, or other harmful code.
g. Use the Services for automated decision-making that affects another person’s employment, credit, or legal rights without complying with applicable law.

5. Accounts & Security

If you create an account, you must provide accurate information and maintain the confidentiality of your credentials.
You are responsible for all activity occurring under your account.
We may suspend or terminate your account for any violation of these Terms.
Data Breach Notice (La. R.S. 51:3071 et seq.) — In the event of unauthorized access to personal information, FLUENT AI will notify affected Louisiana residents in accordance with state law.

6. Payment Terms

a. Billing: You agree to pay all fees described at the time of purchase.
b. Renewals: Subscriptions automatically renew unless canceled before renewal.
c. Refunds: All sales are final unless otherwise stated in writing.
d. Taxes: All payments are processed in U.S. dollars and subject to applicable Louisiana and U.S. taxes.
e. Processors: Payments are handled through secure third-party processors compliant with PCI-DSS.
f. Late Payments: We may suspend Services for overdue accounts.

7. Intellectual Property

All Content and intellectual property within the Services are owned by FLUENT AI or its licensors.
No license or right is granted except as expressly stated herein.
You may not copy, distribute, or create derivative works without written permission.
No license to FLUENT AI trademarks, trade dress, or brand elements is granted under these Terms.

8. User Content and AI Use

By submitting User Content, you grant FLUENT AI a worldwide, non-exclusive, royalty-free license to use, store, process, and analyze that content solely to provide and improve the Services.
User Content may be used in anonymized or aggregated form to train or enhance FLUENT AI’s machine-learning models, subject to our Privacy Policy.
You represent that you have all rights necessary for such submission and that use of your content will not violate any third-party rights.

9. Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy.
FLUENT AI complies with applicable data-protection laws, including the Louisiana Consumer Data Privacy Act (effective 2025) and any other U.S. federal privacy requirements.
By using the Services, you consent to such processing.

10. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Some jurisdictions do not allow exclusion of implied warranties; in such cases, these disclaimers apply to the maximum extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, FLUENT AI shall not be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility.
FLUENT AI’s total cumulative liability shall not exceed the total fees paid by you to FLUENT AI in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless FLUENT AI and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney’s fees) arising from your violation of these Terms or misuse of the Services.

13. Termination

We may suspend or terminate your access to the Services at any time for any reason.
Upon termination, your right to use the Services ceases immediately.
Sections 7 through 16 shall survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-law principles.
Any dispute shall be resolved through binding arbitration under the rules of the American Arbitration Association, held in Ruston, Louisiana, unless you opt out by written notice within thirty (30) days of accepting these Terms.
You waive any right to participate in a class or representative action.

15. Force Majeure

FLUENT AI shall not be liable for delays or failures to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, supply-chain failures, or governmental restrictions.

16. Export Compliance

You agree not to export, re-export, or transfer the Services or related technology in violation of any U.S. export laws, regulations, or sanctions, including the Export Administration Regulations (EAR) and OFAC sanctions programs.

17. DMCA Notice

FLUENT AI respects intellectual-property rights.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and FLUENT AI regarding the Services and supersede all prior agreements or communications.
